Intellectual Property Policy
This Intellectual Property Policy explains how intellectual property, project materials, client materials, reports, estimates, documents, methods, templates, website content, and deliverables are owned and used in connection with services provided by Zeltra Works.
Zeltra Works creates customized consulting materials for construction and engineering-related projects. These materials may include cost estimates, project schedules, reporting formats, written recommendations, project management structures, planning documents, coordination notes, review summaries, and other work product. This policy is intended to protect both client-provided materials and Zeltra Works proprietary work.
1. Zeltra Works Materials
All materials created by Zeltra Works, including but not limited to methodologies, processes, templates, layouts, written content, formats, formulas, calculation structures, reporting systems, estimate structures, project management frameworks, consulting approaches, and internal documentation, remain the intellectual property of Zeltra Works unless otherwise agreed in writing.
Payment for services does not transfer ownership of our internal methods, systems, templates, procedures, or proprietary business materials. Clients receive limited usage rights to final deliverables as described in this policy.
2. Client License to Final Deliverables
After full payment has been received, the client receives a limited, non-exclusive, non-transferable license to use the final deliverables for the specific project for which they were created. This license allows the client to use the deliverables internally for project planning, communication, review, budgeting, coordination, and decision-making.
- The client may use final deliverables for the project identified in the service engagement.
- The client may share deliverables with contractors, stakeholders, advisors, or project participants as reasonably necessary for the same project.
- The client may not sell, license, publish, distribute, or commercially exploit the deliverables.
- The client may not reuse deliverables for unrelated projects without written permission.
- The client may not remove proprietary notices or misrepresent the authorship of Zeltra Works materials.
3. Drafts and Working Materials
Drafts, internal notes, working calculations, research files, preliminary documents, process materials, internal communications, and unfinished work product remain the property of Zeltra Works. The client is not entitled to receive internal drafts or working materials unless we expressly agree to provide them.
4. Client-Provided Materials
Clients retain ownership of documents, plans, drawings, project information, measurements, specifications, photographs, budgets, contractor proposals, and other materials they provide to Zeltra Works. By submitting these materials, the client grants Zeltra Works permission to use, review, store, reproduce, and process them only as necessary to perform the requested services.
The client represents that they have the right to provide such materials to Zeltra Works. The client is responsible for ensuring that submitted materials do not violate third-party rights, confidentiality obligations, copyright restrictions, licensing terms, or legal restrictions.
5. Website Content
All website text, page layouts, service descriptions, graphics, branding elements, visual structure, design presentation, and other content on the Zeltra Works website are owned by Zeltra Works or used with permission. Visitors may not copy, reproduce, scrape, modify, publish, distribute, or use website content for commercial purposes without written authorization.
6. Prohibited Uses
The following uses of Zeltra Works intellectual property are prohibited unless specifically authorized in writing:
- Reselling reports, estimates, schedules, or consulting documents.
- Copying templates, formats, or project management structures for commercial use.
- Publishing deliverables online without permission.
- Using Zeltra Works materials to create competing services.
- Removing branding, authorship references, or proprietary notices.
- Modifying deliverables in a misleading way and attributing them to Zeltra Works.
- Using unpaid, draft, or incomplete materials after non-payment or termination.
7. Non-Payment and Ownership
If a client fails to pay amounts owed, Zeltra Works may withhold final deliverables, revoke usage rights, suspend access, and prohibit use of any materials prepared before payment. Ownership and usage rights do not transfer until full payment has been received.
8. Confidentiality and Project Materials
Zeltra Works treats client project information as confidential business information and uses it only for service delivery, internal administration, legal compliance, and legitimate business operations. However, this Intellectual Property Policy does not create ownership rights in Zeltra Works methods, systems, formats, or proprietary processes.
9. Portfolio and References
Zeltra Works may describe its general service capabilities, industries served, and types of projects supported. We will not intentionally publish confidential client project documents or sensitive project details without permission, unless the information is already public or legally required to be disclosed.
10. Enforcement
Unauthorized use of Zeltra Works intellectual property may result in termination of services, revocation of usage rights, refusal of future services, removal requests, legal action, and pursuit of available remedies under applicable law.
